You must be at least 18 years old or have legal authority to enter into this agreement on behalf of an organization.

ReplyMart is an AI-powered chatbot platform that enables businesses to create, customize, and deploy conversational AI assistants. Features may include:

• AI assistant creation, trained on your FAQs, uploaded files (PDF, DOCX, TXT), and scraped website pages
• White-labeled web chat widget embedded on any site
• WhatsApp Business number integration for native replies
• Outbound WhatsApp campaigns via approved message templates
• AI-generated responses with multi-language support
• Conversation, channel, and campaign analytics
• REST API for programmatic chat

We reserve the right to modify, suspend, or discontinue any feature without prior notice.

You agree to:

• Provide accurate registration information
• Keep your login credentials confidential
• Be responsible for all activities under your account
• Notify us immediately if unauthorized access occurs

We may suspend or terminate accounts involved in abuse, fraud, or illegal activities.

You agree NOT to use ReplyMart for:

• Illegal activities
• Spam or unsolicited communications
• Hate speech or harassment
• Malware distribution
• Copyright infringement
• Fraudulent activities
• Collecting sensitive personal information without consent
• Reverse engineering the platform
• Attempting unauthorized access

Violation may result in immediate account suspension.

ReplyMart uses Groq Llama-3.1-8b to generate responses. You acknowledge that:

• AI responses may contain inaccuracies
• AI-generated information should not be considered legal, financial, medical, or professional advice
• You are solely responsible for reviewing and verifying AI outputs before relying on or publishing them

ReplyMart is not liable for decisions made based on AI-generated responses.

You retain ownership of all content uploaded to the platform, including:

• Documents
• Knowledge base files
• Website data
• Images
• Text
• FAQs

By uploading content, you grant ReplyMart a limited license to process and use it solely for providing the Service. You confirm you have all necessary rights to upload such content.

Certain features require a paid subscription. Subscriptions are billed monthly. Each plan change is reviewed and approved by our admin before it takes effect. Failure to pay may result in suspension or termination of access. Taxes, if applicable, are the customer's responsibility. Payments are processed through Razorpay.

Unless otherwise stated in writing:

• Subscription fees are non-refundable
• Partial billing periods are not refunded
• Promotional purchases are non-refundable

Exceptions may be granted solely at our discretion.

All software, branding, logos, designs, source code, documentation, and platform functionality remain the exclusive property of Dignexus. No ownership rights are transferred through use of the Service.

ReplyMart may integrate with third-party providers including AI models (Groq Llama-3.1-8b), payment gateways (Razorpay), messaging providers (Meta WhatsApp Business Cloud API), email infrastructure, and analytics services. We are not responsible for:

• Availability of third-party services
• Data handled by third parties
• Changes made by third-party providers

Use of third-party services is governed by their respective policies.

When you connect your business website for scraping, you may optionally provide login credentials to access protected pages. These credentials are encrypted with AES-256 before being stored. While we take reasonable measures to safeguard them, you provide such credentials at your own risk, and ReplyMart is not liable for any data leak, account compromise, or third-party misuse arising from credentials you supply.

We aim to provide reliable service but do not guarantee uninterrupted availability. Maintenance, updates, network failures, or circumstances beyond our control may temporarily interrupt service.

To the maximum extent permitted by law, Dignexus and ReplyMart shall not be liable for:

• Indirect damages
• Loss of revenue
• Business interruption
• Loss of profits
• Loss of data
• AI inaccuracies
• Decisions made based on AI-generated responses

Our total liability shall not exceed the amount paid by you during the previous three months.

You agree to indemnify and hold harmless Dignexus, its directors, employees, and affiliates from claims arising from:

• Your misuse of the platform
• Violation of these Terms
• Uploaded content
• Violation of applicable laws

We reserve the right to suspend or terminate any account for:

• Breach of these Terms
• Fraudulent activity
• Abuse of the Service
• Illegal conduct

Termination does not remove outstanding payment obligations.

We may update these Terms from time to time. Continued use of ReplyMart after updates constitutes acceptance of the revised Terms.

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal.
